Terms of Service

1. Introduction

Welcome to ModelMerge, a service provided by Rebilder LLC. These Terms of Service ("Terms") govern your access to and use of the ModelMerge website and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

Throughout these Terms, we use certain defined terms:

  • "AI Models" refers to artificial intelligence models that are accessed, used, or combined through our Services.

3. Account Registration

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services.
  • Use the Services for any purpose that is fraudulent, deceptive, or harmful.
  • Interfere with or disrupt the integrity or performance of the Services or third-party data contained therein.
  • Engage in any activity that could disable, overburden, or impair the functioning of the Services.

5. Intellectual Property Rights

The Services and their original content, features, and functionality are owned by ModelMerge and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any content you submit, post, or display on or through the Services. By submitting, posting, or displaying content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing and improving the Services.

6. AI Model Usage

Our Services allow you to access, use, and combine various AI models. You acknowledge that:

  • The AI models may be subject to third-party terms and conditions, which you agree to comply with.
  • We do not guarantee the accuracy, reliability, or suitability of the AI models for any particular purpose.
  • You are responsible for reviewing and evaluating the output of the AI models before using it for any purpose.
  • You will not use the AI models for any purpose that violates these Terms or applicable laws.

7. Subscription and Payment

Some aspects of the Services may be available only with a paid subscription. You agree to pay all fees associated with your subscription plan. All payments are non-refundable unless otherwise specified in these Terms or required by law.

We may change the fees for the Services at any time, but any price change will only apply to future billing cycles. We will provide you with reasonable notice of any price changes.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall ModelMerge, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services;
  • Any conduct or content of any third party on the Services;
  • Any content obtained from the Services; and
  • Unauthorized access, use, or alteration of your transmissions or content.

9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

ModelMerge, its subsidiaries, affiliates, and licensors do not warrant that:

  • The Services will function uninterrupted, secure, or available at any particular time or location;
  • Any errors or defects will be corrected;
  • The Services are free of viruses or other harmful components; or
  • The results of using the Services will meet your requirements.

10. Indemnification

You agree to defend, indemnify, and hold harmless ModelMerge, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
